HelleniQ Energy has concluded an agreement for the acquisition of 50% of Elpedison for a price of approximately €164 million. Recall that the company already owned 50% of Elpedison B.V.'s share capital, and with this transfer, Elpedison B.V. and its wholly owned subsidiary, ELPEDISON, now operate under 100% company control.
We anticipate completing the transaction in the first half of 2025.

"HELLENiQ ENERGY Holdings S.A. (the "Company") says it has reached a deal with Edison International Shareholdings S.p.A. (Edison) on the main business terms for buying 50% of Elpedison B.V., a Dutch company that owns 100% of its Greek subsidiary "Elpedison Parag³ʉ³ Elektriki Energia Monopredigi S.A." ("ELPEDISON"). The deal is still subject to the signing of a sale and purchase agreement.
Around €164 million is what it costs to buy 50% of Elpedison B.V.'s share capital, plus up to €31 million in adjustments for changes to certain balance sheets and cash items that were agreed upon in the agreement. In the near future, we will implement the share purchase agreement and the necessary actions for the transaction's approval by the competent regulatory authorities. Upon completion, we will transfer the shares and pay the consideration.
Remember that the company already owns 50% of Elpedison B.V.'s share capital—5% directly and 45% indirectly through its wholly owned subsidiary, HelLeniQ Energy International GmbH. HELLENiQ ENERGY Holdings S.A. will fully control both Elpedison B.V. and its wholly owned subsidiary, ELPEDISON, following this transfer, expected to conclude in the first half of 2025.
