Intracom acquires 60% of Wonder Nest
The Wonder Nest subsidiary of Kloukinas-Lappas announced that all of its shares would be sold and transferred to Intracom (60%) and Violetta Lappas (40%).

Kloukinas-Lappas announced its intention to sell and transfer all of the shares of its Wonder Nest subsidiary to Intracom (60%) and to Violetta Lappas (40%).

In the relevant announcement, the company states that as the sole shareholder of Wonder Nest in the context of its ongoing efforts to make optimal use of its assets and as previously announced on 06.02.2023 and 12.05.2023, it has conducted negotiations on the one hand with the limited liability company "INTRACOM HOLDINGS" and the distinctive title "INTRACOM HOLDINGS" and on the other hand with Mrs. Violetta Lappa of Ioannis and Cleopatra (the "BL"), with the aim of selling and transferring all the shares of Wonder Nest to the aforementioned.

In particular, it is the intention of the Company to sell and transfer:

Intracom, three million six hundred seventy thousand seven hundred nineteen (3,670,719) shares, representing 60% of the capital of Wonder Nest; and to Violetta Lappa, two million four hundred and forty-seven thousand four hundred and forty-seven thousand one hundred and forty-six (2,447,146) shares, representing 40% of the capital of Wonder Nest. The total consideration for the Sale amounts to €5,000,000, or €0.82 per share, namely €3,000,000 for the sale and transfer of the shares representing 60% of Wonder Nest's capital to Intracom and €2,000,000 for the sale and transfer of the shares representing 40% of Wonder Nest's capital to VL.
