
ION, the Greek chocolate company owned by Spyros Theodoropoulos, acquired the Bulgarian company Interion for €10 million. Interion, known for the production of the popular NuCrema praline and other chocolate products, returns to ION's hands after two years. The new deal follows the sale of the company by parent company ION to its shareholders in 2022 for EUR 7 million.
The Board of Directors of ION has decided to proceed with the acquisition of all the shares held by the shareholders of Interion A.D., i.e., 330,000 common shares of nominal value of BGN 3,300,000, for a price of €10 million.
It is a related party transaction of the company, since among Interion's shareholders, Konstantina Kotsiopoulou, Vassilis Vytogiannis and Stathis Loizos are members of ION's Board of Directors, holding the positions of Chairman and members, respectively.
SERVING THE CORPORATE INTEREST
The transaction is considered to be in the corporate interest, and the price was found to be fair and reasonable. The transaction will be implemented through the signing of the relevant sale and transfer agreement between ION, on the one hand, and the shareholders of Interion, on the other hand, subject to any necessary approval procedure being followed by 30 June 2025.
