Ginger Digital BidCo's stake in Epsilon Net increased to 72.31%. Yannis Michos, the main shareholder of the software company, the National Bank of Greece, and the US-based General Atlantic jointly made an amandatory public offer to purchase the unvested stake in Epsilon Net for €12 per share.
It should be noted that just prior to the conclusion of the agreement, GA and the promoter did not directly or indirectly hold any shares or voting rights in the company; Yannis Mihos directly held 55,42% of the shares after voting rights of the company, and the National Bank of Greece directly held 7,50% of the shares after voting rights of the company.
Ginger Digital BidCo Single Member SA is a wholly owned subsidiary of General Atlantic Ginger BV, which in turn is 100% controlled by General Atlantic Coöperatief U.A. (acting through its board of directors).
The announcement in full
In particular, Epsilon Net S.A. (the "Company") says that Ginger Digital BidCo Monopreneur S.A. (the "Proponent") bought 872,000 common nominal shares of Epsilon Net S.A. (the "Company") on May 9, 2024, for EUR 12.00 each. The deal will be settled on May 13, 2024, according to article 24 par. 2(a) of Law 3461/2006.This gives the Proponent 1.61% of the voting rights of the Company.
Taking into account the above stock exchange deals and purchases, the proposer, along with the people acting in a coordinated manner (as defined in Article 2(e) of Law 3461/2006), owns 72.31 percent of the company's voting rights until May 9, 2024.
