TeamSystem announced that it had acquired in recent days 0.57% of the share capital of Epsilon Net, but in a later announcement today, it disclosed that it will allocate it to the vehicle that has submitted the mandatory public offer, namely Ginger Digital BidCo Unipersonal.
Specifically, as stated in the announcement:
Epsilon announces that it has received the following communication from TeamSystem: "Further to our notification to you regarding our acquisition of a 0.57% stake in Epsilon Net, we wish to inform you (in light of the mandatory public offer (MPO) submitted for the acquisition of the Company's issued shares) that our investment was made for general business purposes. At or before the SID's settlement, we intend to sell any shares of the company we currently own in the vehicle that submitted the SID, i.e., Ginger Digital BidCo Sole Proprietor S.A., or to make such shares available to the SID.
Earlier, the first announcement stated:
Epsilon Net says that TeamSystem bought 307,190 common nominal shares of Epsilon Net through stock exchange transactions from May 2, 2024, to May 10, 2024, for a maximum price of €12.00 each. This is in line with Article 24, paragraph 2(b) of Law 3461/2006. Following these acquisitions, TS holds approximately 0.57% of the voting rights of the company as of May 10, 2024.
